Terms of Service

1. Acceptance
By creating an account or using any Fire product — including Fire Invoice, Fire Payroll, Fire Books, and any future Fire products (together, the “Service”) — you agree to these Terms of Service (“Terms”). The Service is operated by Prometheus Solutions Inc., a Delaware corporation, doing business as Fire (“we,” “us,” or “our”). You must be of legal age to enter contracts in your jurisdiction to use the Service.
2. What Fire is, and what it is not
Fire is a software tool. It helps you create and send invoices, run payroll, manage your books, and related business tasks.
Fire is not a bank, broker, exchange, payment processor, financial institution, money services business, or money transmitter. We do not hold, custody, transmit, or control any funds, digital assets, or monetary instruments. We do not facilitate the transfer of funds between parties. We do not maintain an account balance on your behalf.
When a payment occurs in connection with an invoice or pay run, it occurs directly between the sender’s wallet and the recipient’s wallet over the MobileCoin network or another payment rail you separately choose. Fire’s role is limited to displaying information and, for MobileCoin transactions, generating payment request messages. Fire has no visibility into, access to, or authority over the actual transfer of value.
You are responsible for your own compliance with any law that applies to your business, your payment rails, your employees, and your customers. This includes but is not limited to tax, payroll, employment, anti-money-laundering, consumer protection, and data protection laws in your jurisdiction.
3. Your account
You are responsible for maintaining the security of your account and your sign-in credentials (including passkeys, magic-link access, and any connected identity provider). You are responsible for all activity that occurs under your account. You must provide accurate information when creating and maintaining your account. You must promptly notify us of any unauthorized access.
You may not use Fire for any unlawful purpose, and you may not allow anyone else to use your account in violation of these Terms.
4. Your data
You own your data. We process it solely to deliver the Service. See our Privacy Policy for details on what we collect, how we handle it, how long we keep it, and how you can access, correct, export, or delete it.
Data you enter that is about third parties — your clients, your employees, your contractors — is your responsibility. You represent that you have the necessary basis under applicable law to provide that data to us for the purpose of delivering the Service.
5. Payments, exchange rates, and pricing
Exchange rates displayed on invoices, pay stubs, and other Fire surfaces are fetched from third-party sources (such as CoinGecko) and are provided for informational convenience only. They are not guaranteed to be accurate, current, or available at the time of a transaction. Fire makes no representation about the value of MobileCoin, any fiat currency, or any other asset. You are solely responsible for any decisions made based on rates displayed by the Service.
Subscription fees, if any, will be clearly stated at the time of purchase. We may change pricing from time to time; changes do not apply retroactively.
6. Acceptable use
You may not use the Service to:
- Invoice, pay for, or receive payment for illegal goods or services
- Harass, defraud, deceive, or harm any recipient, employee, contractor, or customer
- Impersonate another person or business
- Circumvent any technical security measure
- Scrape, mass-download, or reverse engineer the Service
- Use the Service to send spam or unsolicited communications
- Facilitate money laundering, terrorist financing, or sanctions evasion
- Violate the rights of any third party
- Use the Service in any way that violates applicable law
We reserve the right to suspend or terminate accounts that violate these Terms.
7. Payroll
Fire Payroll is a tool that helps you send payments to people you designate and generate pay stubs. Fire Payroll does not compute, withhold, remit, or report any tax. Fire Payroll does not establish an employer-employee relationship on your behalf. Fire Payroll does not classify workers as employees or contractors.
You are solely responsible for:
- Classifying workers correctly under applicable law
- Withholding and remitting any required taxes
- Filing any required payroll tax returns and information returns
- Providing any legally required wage statements, notices, and benefits
- Complying with wage-and-hour, minimum-wage, overtime, and similar laws
- Any other obligation arising from your relationship with your workers
Fire Payroll is not a Professional Employer Organization (PEO), an Employer of Record, or a certified payroll provider.
8. Service availability
We provide the Service on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, error-free operation, or that the Service will meet your specific requirements. We may from time to time modify, suspend, or discontinue any part of the Service. We will provide reasonable notice of material changes.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.
Fire does not provide legal, tax, accounting, or financial advice. Information in the Service is for your operational use. Consult a qualified professional for advice about your specific situation.
10. Limitation of liability
To the maximum extent permitted by law, Fire, Prometheus Solutions Inc., and their respective directors, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, business opportunities, or goodwill — arising from or relating to your use of or inability to use the Service, regardless of the theory of liability.
Our total cumulative liability for any claim arising from or relating to the Service is limited to the greater of: (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Because Fire does not hold or control funds, Fire is not liable for any loss of funds resulting from your own actions, your counterparty’s actions, wallet software behavior, network conditions, or any act or omission outside Fire’s control.
11. Indemnification
You agree to indemnify, defend, and hold harmless Fire, Prometheus Solutions Inc., and their respective directors, officers, employees, and agents from any third-party claim, loss, damage, cost, or expense (including reasonable attorneys’ fees) arising from or relating to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right (including intellectual property, privacy, or employment rights), or (d) your violation of any applicable law.
12. Termination
You may delete your account at any time from Settings → Delete Account. We may suspend or terminate your account if you violate these Terms, if required by law, or if we reasonably believe your use of the Service poses a risk to us, to other users, or to third parties.
Upon termination, your data is deleted in accordance with our Privacy Policy. The provisions of these Terms that by their nature should survive termination will survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law.
13. Intellectual property
The Service, including all software, designs, logos, and text, is owned by Prometheus Solutions Inc. and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business purposes, subject to these Terms. You retain ownership of the data and content you put into the Service.
14. Changes to these Terms
We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Nothing in this section limits your ability to bring a claim in small claims court where available, nor limits any non-waivable rights you may have under the law of your place of residence.
16. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fire regarding the Service. If any provision is found unenforceable, the remainder of the Terms will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
